This is the agreement between Human in the Loop (us) and the company that pays the monthly fee (you). Half explains the service in plain language. Half is the legal scaffolding that keeps both sides honest. Read it once — it is short by design.
The service
We operate one or more named digital employees inside your business. The operator (Joaquin Perez) is the human in the loop: they design each role, run it, monitor it, and improve it weekly. A named employee acts on systems you own — calendars, inboxes, CRMs, docs — under credentials you grant.
The fee
You pay one flat monthly fee per tier. Solo starts at $2,000/month and covers one named role. Unlimited is $5,000/month and covers unlimited roles. The fee includes the operator's time, all model and infrastructure costs, integrations, weekly tuning, same-day incident response, audit logs, and a documented role vault. Token bills, request counts, and usage spikes are absorbed by us — never invoiced separately.
Term & cancellation
Month-to-month. Either side may cancel with seven days' notice before the next billing date. There is no annual minimum, no termination fee, and no automatic price increase mid-term. Paid time is not refunded once a month has begun.
What we run on
We hold the API keys, the model accounts, and the orchestration infrastructure. The operator selects the model for each task and swaps providers as the market moves. You do not provision or maintain any of it. If you need every component running inside your own cloud, that is out of scope for this fee — talk to us before signing.
Your access & data
You grant the operator the credentials and scopes each role needs to do its job — no more. Every action a digital employee takes is logged and readable by you. Credentials remain in your name; we maintain custody for operation. On cancellation, we hand back exports of role configs, prompts, and logs within seven days and revoke our access.
Confidentiality
We will not disclose your business information, customer data, or internal documents to any third party except as needed to operate the role (for example, the model provider executing a prompt you authorized). You agree not to share the operator's prompts, configurations, or pricing terms with competing providers. This obligation survives cancellation.
Your property stays yours
Your data, your customer relationships, your accounts, and your operational IP remain yours. Outputs a digital employee produces on your behalf are owned by you. We retain rights to the underlying methods, role templates, and tuning playbooks — none of which depend on your data to function.
Limits of liability
We operate each role with reasonable care, but a digital employee is a tool, not a guarantee. You remain responsible for reviewing outputs that affect customers, contracts, money, or regulated decisions. Our total liability under this agreement, in any twelve-month period, is capped at one month of fees paid.
Out of scope
The fee does not cover: your own third-party software licenses (CRM seats, accounting subscriptions, and similar); hardware or hosting on your premises; customer-facing product builds shipped under your brand. Those are separate engagements — typically a Hypno Labs job, not this one.
Changes to these terms
If we update these terms, we email the change and the reason at least thirty days before it applies. Continuing past that date is acceptance. If a change is unacceptable, cancel within the notice window with no further obligation.
Governing law
This agreement is governed by the laws of the State of New York. Any dispute that cannot be resolved by a thirty-minute call between principals will be heard in the state or federal courts of New York County.
